Shareholding structure
In 2013, Tarczyński debuted on the Main Market of the Warsaw Stock Exchange. The company’s main shareholders are entities controlled by the Tarczyński family, including the company’s founders, Elżbieta and Jacek Tarczyński. Tarczyński is a family-owned company. In addition to CEO Jacek Tarczyński, his sons, Dawid and Tomasz Tarczyński, also serve on the management board. The company’s co-founder, Elżbieta Tarczyńska, and privately the CEO’s wife, is a member of the supervisory board.
The company’s shareholding structure also includes pension funds: OFE Allianz Polska and OFE NN.
Ownership structure and percentage of shares held
*The shareholders’ agreement referred to in Article 87(1)(5) of the Act on Public Offering […] entered into on 15 December 2025 by and among the following shareholders: Jacek Tarczyński, Elżbieta Tarczyńska, Dawid Tarczyński, Tomasz Tarczyński, and EJDT Fundacja Rodzinna, with its registered office in Ujeździec Mały, for the purpose of pursuing a lasting policy towards Tarczyński S.A. and exercising voting rights at the Company’s General Meeting in a concerted manner, in accordance with the principles arising therefrom. ** EJDT Fundacja Rodzinna, established on 6 November 2025 by Jacek Tarczyński and Elżbieta Tarczyńska, which on 15 December 2025 acquired, pursuant to a donation agreement entered into with Jacek Tarczyński, Elżbieta Tarczyńska, Dawid Tarczyński and Tomasz Tarczyński, an aggregate of 100% of the shares in EJT Investment S.à r.l., with its registered office in Luxembourg, which directly and indirectly—through EJT Sp. z o.o., with its registered office in Ujeździec Mały—holds shares in Tarczyński S.A.”
